Terms of Service
These Terms of Service (“Terms”) govern access to and use of NestPoint's website and membership-management software (the “Service”). By creating a workspace or otherwise using the Service, you agree to these Terms on behalf of your organization (the “Customer”) and represent that you are authorized to do so. If you do not agree, do not use the Service.
The Service
NestPoint is subscription software that helps member-driven organizations run their day-to-day operations — front desk, programs, rentals, rides, meals, memberships, billing, communications, reporting, and related modules — in one workspace. We may add, change, or remove features over time.
Accounts and authorized users
The Customer is responsible for its workspace and for the staff and volunteers it authorizes to use it (“Authorized Users”), including their actions and their compliance with these Terms. You must provide accurate information, keep login credentials secure, and notify us promptly of any unauthorized use at support@nestpoint.org.
Your data and ownership
The data you and your members put into NestPoint (“Customer Data”) belongs to you. You grant us a limited license to host and process Customer Data solely to provide and support the Service, as described in our Privacy Policy, under which we act as your processor. You can export your data to CSV at any time, and if you close your account we will provide a complete export of your workspace.
Acceptable use
You agree not to:
- Use the Service in violation of any law or regulation;
- Attempt to access another organization's workspace or data;
- Disrupt, probe, or attempt to compromise the integrity or security of the Service;
- Reverse engineer or copy the Service except as permitted by law; or
- Use the Service to store or transmit unlawful or harmful content.
Subscriptions, billing, and renewals
NestPoint is offered as a subscription with one all-modules-included plan, priced by your number of active members measured on a rolling 30-day average. Key terms:
- Free trial. New workspaces get a 14-day free trial. A payment method is collected at signup and stored by Stripe, but nothing is charged during the trial. If you cancel before the trial ends you are not charged at all; otherwise the first payment is taken automatically on the day the trial ends.
- Monthly and annual options. Monthly plans are month-to-month and can be cancelled anytime in-app. Annual plans are paid up front at a discount and continue through the term you paid for.
- Automatic renewal. Subscriptions renew automatically until cancelled. You can cancel anytime to stop the next renewal; for annual plans, we email you at least 14 days before renewal so it is never a surprise.
- Tier changes.If your active-member count exceeds your tier's cap for two consecutive billing cycles, we will notify you at least 14 days before renewal and move you to the next tier on the following cycle. There is no back-billing. You can move to a lower tier at a renewal if your active-member count qualifies.
- Payment. Paid subscriptions are billed through Stripe, and you authorize recurring charges to your payment method. Fees are exclusive of taxes, which you are responsible for where applicable.
- Refunds. Except where required by law, fees are non-refundable, and annual prepayments are not refunded mid-term.
- Price changes.We may change prices with at least 30 days' notice before your next renewal.

Third-party services
The Service relies on third parties such as Stripe for payment processing. Your use of those features may also be subject to the third party's terms, and we are not responsible for their services.
Intellectual property
The Service, including its software, design, and content (other than Customer Data), is owned by NestPoint and protected by applicable law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service and do not grant you any rights to our trademarks or branding. If you send us feedback or suggestions, we may use them without obligation to you.
Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if these Terms are materially breached or fees go unpaid, and we will make reasonable efforts to give notice first where practical. On termination you may export your data as described above, after which we may delete it in accordance with our Privacy Policy.
Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement.
Limitation of liability
To the fullest extent permitted by law, NestPoint will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of data, revenue, or profits, arising from or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You will defend and indemnify NestPoint against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law, to the extent permitted by law.
Changes to the Service and these Terms
We may modify or discontinue features of the Service, and we may update these Terms from time to time. When we make a material change, we will revise the effective date above and, where appropriate, notify Customers. Continued use of the Service after a change takes effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of Alabama, excluding its conflict-of-law rules, and you and NestPoint submit to the courts located in that jurisdiction for any dispute that is not otherwise resolved.
Miscellaneous
These Terms, together with our Privacy Policy, are the entire agreement between you and NestPoint regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
